1. Agreement to Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your"), whether acting personally or on behalf of an entity, and Zenthra Global Consulting ("Zenthra," "Company," "we," "us," or "our"), a company registered in India with its principal office at Malakpet, Hyderabad, Telangana, concerning your access to and use of our website at zenthra.com (the "Site") and all related services.
By accessing or using the Site, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must discontinue use of the Site immediately.
These Terms are governed by the Indian Contract Act, 1872, the Information Technology Act, 2000 ("IT Act"), and other applicable laws of the Republic of India.
2. Eligibility
By using the Site, you represent and warrant that:
- You are at least 18 years of age or the age of legal majority in your jurisdiction, whichever is greater.
- You have the legal capacity to enter into a binding agreement under the Indian Contract Act, 1872 (i.e., you are not a minor, of unsound mind, or disqualified from contracting by any law).
- If acting on behalf of a company or other legal entity, you have the authority to bind that entity to these Terms.
3. Description of Services
Zenthra Global Consulting provides business process outsourcing (BPO), call centre operations, customer support, lead generation, answering services, and sales outsourcing solutions (collectively, the "Services"). The Site serves as an informational platform and a point of contact for prospective and existing clients.
Service-specific terms, scope of work, deliverables, pricing, and timelines shall be governed by separate service agreements or statements of work ("SOWs") executed between Zenthra and the client. In the event of a conflict between these Terms and a signed service agreement, the service agreement shall prevail.
4. Intellectual Property Rights
4.1 Our Intellectual Property
Unless otherwise indicated, the Site and all its content — including but not limited to source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, logos, and trademarks (collectively, the "Content" and the "Marks") — are the proprietary property of Zenthra Global Consulting or its licensors, protected under:
- The Copyright Act, 1957 (India)
- The Trade Marks Act, 1999 (India)
- The Information Technology Act, 2000 (India)
- International copyright and intellectual property treaties, including the Berne Convention and TRIPS Agreement
No part of the Content or Marks may be copied, reproduced, distributed, republished, downloaded, displayed, posted, transmitted, or exploited in any form or by any means without our prior written consent, except as expressly permitted herein.
4.2 Limited Licence
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Site for personal, non-commercial informational purposes only. This licence does not include the right to:
- Modify, adapt, or create derivative works from any Content.
- Use any data mining, robots, scraping, or similar automated data-gathering tools.
- Frame, mirror, or otherwise incorporate any part of the Site into another website or application.
5. User Representations and Conduct
By using the Site, you agree that:
- All information you provide (including via contact forms) will be true, accurate, current, and complete.
- You will not access the Site through automated or non-human means (bots, scripts, crawlers) without our prior written consent.
- You will not engage in any activity that disrupts, damages, or impairs the Site's functionality, security, or infrastructure.
- You will not transmit any malicious code, viruses, worms, Trojan horses, or other harmful components, in contravention of Section 43 and Section 66 of the IT Act.
- You will not use the Site for any purpose that is unlawful under the Indian Penal Code, 1860, the IT Act, or any other applicable law.
- You will not attempt to gain unauthorised access to any part of the Site, other user accounts, or computer systems connected to the Site (punishable under Section 43 and Section 66C of the IT Act).
- You will not use the Site for unsolicited commercial communications (spam), in violation of the Telecom Commercial Communications Customer Preference Regulations (TRAI).
6. Contact Form and Communications
When you submit information through our contact form or communicate with us via email or phone, you consent to:
- The collection and processing of the submitted data in accordance with our Privacy Policy.
- Receiving communications from us in response to your enquiry, including by email, phone, or messaging platforms.
We implement rate-limiting and anti-spam measures on our contact form. Any attempt to abuse, circumvent, or overwhelm these safeguards may result in your access being blocked and may constitute an offence under Section 43 of the IT Act.
7. Third-Party Links and Services
The Site may contain links to third-party websites, services, or content that are not owned or controlled by Zenthra. We are not responsible for the content, privacy policies, practices, or availability of any third-party sites. Inclusion of any link does not imply endorsement, approval, or affiliation.
Your interactions with third-party websites are governed solely by that third party's terms and policies. We strongly recommend reviewing the terms and privacy policies of every third-party site you visit.
8. Disclaimer of Warranties
The Site and all Content are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- Warranties that the Site will be uninterrupted, error-free, virus-free, or secure.
- Warranties regarding the accuracy, reliability, or completeness of any Content.
Nothing on the Site constitutes professional consulting advice. Any reliance you place on the Content is strictly at your own risk. For specific business or legal advice, please engage our services directly or consult an independent professional.
9. Limitation of Liability
To the fullest extent permitted by applicable law, including the Indian Contract Act, 1872, and the Consumer Protection Act, 2019:
- Zenthra, its directors, officers, employees, agents, affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, business opportunities, or anticipated savings.
- Our total aggregate liability arising out of or related to these Terms or your use of the Site shall not exceed ₹10,000 (Indian Rupees Ten Thousand) or the amount paid by you to us in the 12 months preceding the claim, whichever is greater.
This limitation of liability applies regardless of the legal theory (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.
10. Indemnification
You agree to defend, indemnify, and hold harmless Zenthra Global Consulting, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your use or misuse of the Site.
- Your violation of these Terms.
- Your violation of any third-party rights, including intellectual property rights.
- Your violation of any applicable law, regulation, or government order.
11. Governing Law and Dispute Resolution
11.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to conflict-of-law principles.
11.2 Dispute Resolution
Any dispute, controversy, or claim arising out of or in connection with these Terms shall be resolved as follows:
- Amicable Resolution: The parties shall first attempt to resolve the dispute through good-faith negotiation within 30 days of written notice.
- Mediation: If negotiation fails, the parties may mutually agree to refer the dispute to mediation in accordance with the Mediation Act, 2023.
- Arbitration: If mediation is unsuccessful or not agreed upon, the dispute shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, as amended. The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties, with the seat of arbitration in Hyderabad, Telangana, India. The language of arbitration shall be English.
11.3 Jurisdiction
Subject to the arbitration clause above, the courts of Hyderabad, Telangana, India shall have exclusive jurisdiction over any matters not subject to arbitration.
12. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed. The remaining provisions shall continue in full force and effect.
13. Waiver
The failure of Zenthra to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorised representative of Zenthra to be effective.
14. Entire Agreement
These Terms, together with our Privacy Policy and any applicable service agreements or SOWs, constitute the entire agreement between you and Zenthra regarding your use of the Site, superseding all prior or contemporaneous oral or written communications, proposals, and representations.
15. Modifications to Terms
We reserve the right to modify, amend, or update these Terms at any time at our sole discretion. Material changes will be indicated by updating the "Last updated" date at the top of this page. Your continued use of the Site following the posting of revised Terms constitutes your acceptance of the changes. We encourage you to review these Terms periodically.
